1. INTRODUCTION

These Terms and Conditions (“Terms”) govern your use of the 4Dsensing website, your purchase of products or services from 4Dsensing INC., and other transactions expressly made subject to these Terms.

4Dsensing INC. (“4Dsensing,” the “Company,” “we,” “us,” or “our”) is a Canadian corporation based in Ontario, Canada and may also operate under the registered trade name 4Dindustrial.

4Dindustrial is a trade name of 4Dsensing INC. and is not a separate legal entity.

For purposes of these Terms, references to 4Dsensing, the Company, we, us, or our include business activities conducted by 4Dsensing INC. under the 4Dindustrial trade name unless the context requires otherwise.

By accessing our Website, placing an Order, purchasing Goods or Services, accepting a quotation that incorporates these Terms, or otherwise entering into a transaction governed by these Terms, you agree to be bound by them.

If you do not agree with these Terms, you should not use the applicable Website functionality or place an Order subject to them.

  • You are legally entitled to use any payment method supplied for the transaction.

4.PRIVACY

Use of the Website and transactions with the Company may involve the processing of personal information.

Personal information is handled according to the applicable 4Dsensing Privacy Policy.

The Privacy Policy forms a separate legal document and does not modify the commercial warranty, return, payment, or liability provisions contained in these Terms.

5.QUOTATIONS

  • taxes, duties, brokerage, shipping, travel, and other charges may be additional unless expressly included;

  • delivery dates are estimates unless expressly guaranteed in writing; and

  • availability remains subject to confirmation when the Order is accepted.

A quotation may contain additional or different commercial terms.

Where an accepted quotation, service agreement, or other Written Agreement expressly conflicts with these general Terms, the specifically negotiated written provision will control to the extent of the conflict.

6.ORDERS AND ORDER ACCEPTANCE

The Company may refuse or cancel an Order before fulfillment for legitimate reasons including:

  • interest;

  • collection expenses;

  • suspension of further shipments;

  • suspension of Services; or

Nothing in this section authorizes a charge prohibited by applicable consumer law.

12.DEPOSITS AND ADVANCE PAYMENTS

Deposits and advance payments may be required for:

  • special-order Goods;

  • custom products;

  • field service;

  • travel;

  • large Orders;

  • engineering work;

  • training;

  • reserved technician time; or

  • other commitments requiring the Company to incur costs in advance.

Whether a deposit is refundable depends on:

  • the applicable quotation;

  • costs already incurred;

  • whether the product is custom or special-order;

  • cancellation timing; and

  • applicable law.

Non-refundable deposits will be identified as such where required.

13.AVAILABILITY AND PRODUCT INFORMATION

The Company makes reasonable efforts to provide accurate product and service information.

However:

  • availability may change;

  • manufacturers may change specifications;

  • photographs may differ from the final product;

  • replacement products may have minor cosmetic or technical differences;

  • specifications may be corrected;

  • Website information may contain inadvertent errors; and

  • discontinued components may be replaced with compatible alternatives.

The Company may correct errors or update information at any time, subject to applicable contractual and consumer-law requirements.

14.DELIVERY

Delivery dates are estimates unless expressly guaranteed in writing.

The Company is not responsible for reasonable delays caused by circumstances outside its control, including:

  • carrier delays;

  • labour disruption;

  • government action;

  • border restrictions;

  • natural disasters;

  • power failures;

  • cyber incidents; or

  • force majeure.

The Customer must provide complete and accurate delivery information.

15.RISK OF LOSS AND SHIPPING

Risk of loss and title will be determined according to the applicable agreement, shipping terms, and applicable law.

Where the Company arranges transportation on behalf of the Customer, shipping charges may be passed to the Customer unless otherwise agreed.

Customers should inspect shipments promptly and report visible transportation damage as soon as reasonably possible.

16.SERVICES

Services may include:

  • field service;

  • troubleshooting;

  • maintenance;

  • repair;

  • installation;

  • training;

  • technical support;

  • engineering;

  • commissioning;

  • inspection; or

  • consulting.

Specific Services may be governed by a quotation, statement of work, service report, purchase order, or separate agreement.

17.CUSTOMER SITE RESPONSIBILITIES

Where Services are performed at a Customer location, the Customer is responsible for providing, where applicable:

  • safe site access;

  • appropriate electrical isolation;

  • required machine access;

  • required permits;

  • escorts;

  • safety orientations;

  • appropriate working conditions;

  • access to equipment;

  • accurate technical information;

  • utilities;

  • lifting or access equipment;

  • qualified personnel where required; and

  • compliance with applicable site safety requirements.

The Company may suspend work where conditions are unsafe or unsuitable.

18.LEGACY AND OBSOLETE EQUIPMENT

Some service activities may involve legacy, obsolete, unsupported, modified, or discontinued equipment.

In such cases:

  • replacement parts may no longer be manufactured;

  • exact original parts may not be available;

  • compatible replacements may be required;

  • manufacturer documentation may be incomplete;

  • repair may not always be technically possible; and

  • restoration to original specifications may not always be achievable.

Where these limitations are known in advance, the Company will make reasonable efforts to communicate them.

A service visit directed toward troubleshooting or repair does not constitute a guarantee that legacy or obsolete equipment can be restored to operation unless expressly guaranteed in writing.

19.PRODUCT INSTALLATION AND USE

Goods must be:

  • installed correctly;

  • used for their intended purpose;

  • operated within published ratings;

  • maintained appropriately;

  • protected from inappropriate environmental or electrical conditions;

  • used in accordance with applicable instructions; and

  • used in compliance with applicable laws, regulations, codes, and safety requirements.

The Buyer is responsible for ensuring that the product is suitable for its intended application unless the Company has expressly undertaken that responsibility in writing.

20.SAFETY AND MONITORING PRODUCTS

Unless expressly certified and represented by the Company for a particular safety-critical application, monitoring, diagnostic, notification, or reference products supplied by the Company are intended to assist the user and are not a substitute for:

  • legally required safety systems;

  • emergency systems;

  • professional inspection;

  • required alarms;

  • qualified technical judgment; or

  • compliance with applicable codes and laws.

Users remain responsible for appropriate independent verification and reasonable safeguards where failure could result in injury, property damage, environmental harm, or other significant consequences.

21.WARRANTIES AND LEGAL RIGHTS

Goods and Services supplied by the Company are subject to the warranties, conditions, protections, and remedies required by applicable law and that cannot legally be excluded or limited.

Nothing in these Terms, the Warranty, Returns and Refund Policy, or any Company warranty is intended to reduce or waive a mandatory statutory or legal warranty.

Where applicable law specifies a minimum warranty duration, that minimum applies. Where applicable law instead requires Goods to remain reasonably durable for a reasonable period under normal use, the applicable legal standard applies.

Any additional written warranty offered by the Company is subject to the current 4Dsensing Warranty, Returns and Refund Policy.

22.WARRANTY, RETURNS, REFUNDS AND STATUTORY CANCELLATION RIGHTS

Warranty claims, repair and replacement remedies, voluntary change-of-mind returns, exchanges, refunds, warranty return shipping, replacement parts, on-site warranty service, travel expenses, and related procedures are governed by the current 4Dsensing Warranty, Returns and Refund Policy.

That Policy forms part of these Terms.

Nothing in these Terms or that Policy limits any statutory cancellation, refund, return, warranty, legal warranty, or other consumer right that applies under applicable law, including rights that may apply to certain online or consumer agreements.

23.ACCOUNTS

Where the Website provides an Account feature, You are responsible for:

  • maintaining accurate account information;

  • safeguarding account credentials;

  • restricting unauthorized access; and

  • notifying the Company promptly of suspected unauthorized use.

You must not impersonate another person or create an account using information that You are not authorized to use.

24.ACCEPTABLE WEBSITE USE

You must not use the Website to:

  • violate applicable law;

  • introduce malware;

  • interfere with Website operation;

  • attempt unauthorized access;

  • scrape or extract protected information unlawfully;

  • impersonate another person;

  • commit fraud;

  • infringe intellectual-property rights; or

  • engage in malicious activity.

25.INTELLECTUAL PROPERTY

The Website and its original:

  • text;

  • graphics;

  • software;

  • photographs;

  • logos;

  • designs;

  • documentation;

  • trademarks;

  • service marks;

  • technical materials; and

  • other proprietary content

are owned by or licensed to 4Dsensing INC. and are protected by applicable intellectual-property laws.

4Dindustrial is a trade name used by 4Dsensing INC.

No intellectual-property right is transferred except where expressly stated in writing.

26.THIRD-PARTY WEBSITES

The Website may contain links to independent third-party websites.

The Company does not control and is not responsible for:

  • third-party content;

  • availability;

  • privacy practices;

  • security; or

  • independent products and services.

Users should review the applicable third-party terms and privacy policies.

27.SERVICE AND WEBSITE AVAILABILITY

The Website and online functions may occasionally be unavailable because of:

  • maintenance;

  • upgrades;

  • network failures;

  • hosting failures;

  • cyber incidents;

  • third-party service interruption;

  • force majeure; or

  • other circumstances.

The Company does not guarantee uninterrupted Website availability unless expressly agreed in a separate written service-level agreement.

28.DISCLAIMER OF WEBSITE INFORMATION

The Website is provided for general information and commercial communication.

While the Company seeks to maintain accurate information, Website content may contain:

  • errors;

  • omissions;

  • outdated information; or

  • incomplete information.

Website information should not replace a specific quotation, contract, technical specification, professional instruction, or product documentation where those documents apply.

29.WARRANTIES — GENERAL LIMITATION

Except for:

  • warranties expressly provided by the Company;

  • warranties contained in an applicable Written Agreement; and

  • warranties, conditions, or rights that cannot legally be excluded,

the Company disclaims additional warranties to the maximum extent permitted by applicable law.

No provision of these Terms excludes or limits mandatory consumer rights.

30.LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from a transaction or use of the Website, including loss of:

  • profits;

  • revenue;

  • production;

  • business opportunity;

  • data; or

  • business interruption,

except where such liability cannot legally be excluded.

For commercial transactions, and to the maximum extent permitted by law, the Company's aggregate liability arising from a particular Good, Service, or Order will not exceed the amount actually paid to the Company for the Good, Service, or Order giving rise to the claim.

This section applies only to the maximum extent permitted by applicable law and does not limit liability for fraud, wilful misconduct, or any liability or remedy that applicable law prohibits the Company from excluding or limiting.

31.INDEMNIFICATION

To the extent permitted by applicable law, a Customer acting in a commercial capacity agrees to indemnify the Company against third-party claims, losses, or expenses arising directly from:

  • unauthorized modification of Goods;

  • unlawful use;

  • misuse;

  • Customer-provided specifications that infringe third-party rights;

  • unsafe installation performed by persons outside the Company's responsibility; or

  • the Customer's material breach of these Terms.

This provision does not require indemnification for the Company's own liability where such indemnification is prohibited by law.

32.FORCE MAJEURE

The Company is not responsible for failure or delay caused by events beyond its reasonable control, including:

  • natural disaster;

  • fire;

  • flood;

  • severe weather;

  • epidemic or pandemic;

  • war;

  • terrorism;

  • civil disturbance;

  • labour dispute;

  • transportation disruption;

  • supplier failure;

  • material shortage;

  • power failure;

  • Internet or telecommunications outage;

  • cyberattack;

  • governmental action;

  • border closure;

  • export restriction; or

  • similar events.

The Company will make reasonable efforts to resume performance when practicable.

33.SUSPENSION OR TERMINATION

The Company may suspend or terminate access to Website functions or commercial Services where reasonably necessary because of:

  • breach of these Terms;

  • non-payment;

  • fraud;

  • security concerns;

  • unlawful conduct;

  • abuse;

  • legal requirements; or

  • risk to the Company or others.

Termination does not eliminate payment or other obligations that arose before termination.

34.GOVERNING LAW

Subject to mandatory legal rights that apply regardless of contractual choice, these Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

The parties submit to the courts of Ontario for disputes arising from these Terms, except where applicable consumer or other mandatory law gives a party a right to proceed in another jurisdiction.

35.DISPUTE RESOLUTION

Before commencing formal proceedings, the parties should make reasonable efforts to resolve a dispute through good-faith communication.

This does not prevent either party from:

  • seeking urgent injunctive relief;

  • preserving a limitation period;

  • exercising mandatory consumer rights; or

  • pursuing another remedy that applicable law provides.

36.CONSUMER RIGHTS

Nothing in these Terms removes or reduces rights available under mandatory consumer-protection legislation.

Where You are a consumer in a jurisdiction that gives You additional statutory rights, those rights continue to apply.

This includes applicable legal warranties and statutory cancellation or refund rights.

37.QUEBEC CONSUMERS

Where Quebec consumer protection legislation applies, mandatory Quebec rights and legal warranties prevail over any inconsistent provision of these Terms.

Nothing in these Terms is intended to:

  • waive a Quebec legal warranty;

  • eliminate a mandatory remedy;

  • shorten a legally required reasonable durability period; or

  • impose a contractual restriction prohibited by Quebec consumer law.

38.INTERNATIONAL CUSTOMERS

International Customers remain responsible for complying with applicable:

  • import laws;

  • customs requirements;

  • export controls;

  • sanctions;

  • taxes;

  • duties; and

  • local technical or safety requirements.

Mandatory consumer rights in the Customer's jurisdiction remain unaffected where they legally apply despite the contractual choice of law.

39.SEVERABILITY

If a provision of these Terms is held invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

The remaining provisions will continue in effect.

40.WAIVER

Failure to enforce a provision of these Terms does not waive the right to enforce it later.

A waiver of one breach does not constitute a waiver of another breach.

41.ASSIGNMENT

The Customer may not assign a commercial agreement without the Company's consent where assignment would materially affect the Company's rights or obligations.

The Company may assign an agreement in connection with a legitimate corporate restructuring, financing, sale, or transfer of business, subject to applicable law.

42.ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

These Terms, together with:

  • the applicable quotation;

  • accepted Order;

  • Written Agreement;

  • the 4Dsensing Warranty, Returns and Refund Policy; and

  • other expressly incorporated documents

form the applicable agreement between the parties.

Where documents conflict, specifically negotiated written terms generally take priority over these general Terms to the extent of the conflict.

43.LANGUAGE AND TRANSLATION

These Terms may be made available in more than one language.

Where applicable law requires a particular language version or gives the Customer language rights, those requirements will apply.

Where legally permitted and the parties have validly chosen English, the English version may be used to resolve an interpretation difference.

44.CHANGES TO THESE TERMS

The Company may update these Terms from time to time.

Changes may reflect:

  • legal requirements;

  • business practices;

  • product changes;

  • Website changes;

  • payment practices; or

  • operational requirements.

Changes do not retroactively alter an already accepted Order or Written Agreement unless:

  • both parties agree;

  • the existing agreement permits the change; or

  • applicable law authorizes it.

The Last Updated date identifies the current Website version.
